Agreement overview
These Terms of Service ("Terms") form a legal agreement between ZytePe Payments Technologies Private Limited ("ZytePe", "we", "us" or "our") and the business or legal entity accessing the Services ("Customer", "you" or "your").
ZytePe provides B2B payment technology, software, dashboards, APIs and business tools. Regulated payment processing, banking, settlement and related services may be provided by authorised banks, payment aggregators, payment service providers or other partners. ZytePe does not itself provide regulated banking services.
Key definitions
- Access Credentials
- API keys, developer identifiers, passwords, tokens or other credentials issued or configured for secure access to the Services.
- APIs
- The application programming interfaces, software development tools and accompanying documentation made available by ZytePe.
- Applicable Law
- All laws, rules, regulatory directions, network rules and binding requirements applicable to the Customer, ZytePe, a Partner or a Transaction.
- End Customer
- A person or entity purchasing from, receiving services from, or otherwise transacting with the Customer.
- Partner
- An authorised bank, payment aggregator, payment service provider, network or other third party involved in providing an underlying service.
- Services
- The ZytePe platform, dashboards, APIs, integrations, payment tools, reports and related business services made available to the Customer.
Services and account framework
Business eligibility and authority
You must be legally capable of entering into a binding contract and authorised to act for the business you register. The Services are intended for approved business use and not for personal banking or consumer deposit purposes.
Onboarding and verification
You must provide complete, current and accurate information. ZytePe or a Partner may request business, ownership, identity, bank account, tax, transaction or other documents for onboarding, verification, risk assessment or continued access.
Plans and service availability
Available features, limits, fees and support levels may depend on your order form, commercial proposal, dashboard selection or approved use case. Material pricing or feature changes will apply prospectively and will be communicated where required.
Partner dependencies
Some Services depend on Partners, payment networks, banks or third-party systems. Availability, approval, limits and processing timelines may therefore be subject to their rules and operational decisions.
Fees, billing and taxation
Fees and invoices
You agree to pay all fees, charges, overages and other amounts stated in your applicable commercial terms. Unless stated otherwise, fees are exclusive of GST and other applicable taxes.
Taxes and deductions
Each party is responsible for taxes imposed on it by law. If withholding or deduction is legally required, you must provide the applicable certificate or supporting record within the prescribed period.
Refunds of platform fees
Refunds, if any, will be governed by the applicable order form, commercial terms and the Refund Policy. Transaction refunds to End Customers are separate from refunds of ZytePe platform or service fees.
Acceptable use and customer responsibilities
You must use the Services lawfully, only for your approved business and in accordance with these Terms, Partner requirements and Applicable Law.
- Maintain accurate product, service, pricing, refund and contact information for End Customers.
- Fulfil orders and services, handle customer complaints and retain supporting transaction records.
- Protect Access Credentials and promptly notify ZytePe of suspected compromise or unauthorised access.
- Do not introduce malware, interfere with platform security, test vulnerabilities without permission or attempt unauthorised access.
- Do not use the Services for fraud, money laundering, sanctions evasion, infringement, deception or any unlawful purpose.
- Do not misrepresent ZytePe as a bank, lender, card network or regulator, or make unauthorised claims about the Services.
Restricted business categories
Approval is use-case specific. ZytePe or a Partner may reject, restrict or require enhanced review for a business category based on law, regulation, network rules or risk policy.
Privacy, data and security
Data handling
Personal data will be handled in accordance with the Privacy Policy, Applicable Law and relevant contractual requirements. You are responsible for providing required notices and obtaining valid permissions for data you submit to the Services.
Credential security
You are responsible for activity performed through your account and Access Credentials. Credentials must be kept confidential, used only in approved environments and rotated or disabled if compromise is suspected.
Security controls
You must maintain reasonable administrative, technical and organisational safeguards. ZytePe may impose security requirements, rate limits, access restrictions or additional controls to protect the Services and transaction ecosystem.
Payment processing, settlements and disputes
Processing and settlement
Transaction processing and settlement are carried out in coordination with applicable Partners. Settlement cycles, cut-off times, holds, reserves, limits and availability vary by product, Partner, payment method, risk review, bank working day and commercial arrangement. Your dashboard or written commercial terms will describe the applicable cycle.
Refunds, reversals and failed transactions
Refunds, reversals and failed-transaction handling are subject to available balance, Partner procedures, payment-network rules and Applicable Law. ZytePe may require supporting information before processing or coordinating a request.
Chargebacks and customer disputes
You remain responsible for the quality, delivery, legality and description of your goods or services. Chargebacks and payment disputes will be coordinated with relevant Partners. You must provide proof of order, consent, fulfilment, delivery or service within the communicated timeframe.
Liability and indemnification
Service limitations
To the maximum extent permitted by Applicable Law, ZytePe will not be liable for indirect, incidental, special, exemplary or consequential loss, including loss of profits, opportunity, goodwill or data, arising from use of or inability to use the Services.
Third-party systems
ZytePe is not responsible for outages, delays, declines, holds or other actions caused by banks, Partners, networks, telecommunications providers, internet infrastructure or other systems outside ZytePe's reasonable control.
Indemnity
You agree to indemnify and hold harmless ZytePe, its directors, employees and affiliates from third-party claims, losses, penalties and reasonable costs arising from your goods or services, breach of these Terms, violation of law, misuse of the Services or infringement of another party's rights.
Suspension and termination
ZytePe may suspend, limit or terminate access where reasonably necessary to address non-payment, suspected fraud, security risk, prohibited activity, inaccurate information, legal or Partner requirements, material breach, or risk to ZytePe, a Partner, an End Customer or the payment ecosystem.
You may stop using the Services or request closure subject to outstanding obligations, settlement of dues, transaction disputes, record-retention requirements and the applicable commercial term. Provisions intended by their nature to survive will continue after termination.
Governing law and changes
Governing law
These Terms are governed by the laws of India. Subject to Applicable Law and any written dispute-resolution agreement, disputes will be subject to the competent courts at ZytePe's registered office.
Updates to these Terms
ZytePe may update these Terms to reflect product, legal, regulatory, security or operational changes. The revised version will show its effective date. Where required, material changes will be notified through the dashboard, registered email address or another reasonable channel.
Entire agreement and severability
These Terms, the applicable order form or commercial terms, and policies incorporated by reference form the agreement for the Services. If a provision is held unenforceable, the remaining provisions will continue to apply.
